Terms of Service

These Terms of Service ("Terms") govern your use of the PruneKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using PruneKit, you agree to these Terms.

1. Service Description

PruneKit is a Shopify application, embedded in the Shopify admin, for print-on-demand and other large-catalog stores. It reads the store's products and orders, sorts each design (product) into a tier by its sales (Winners, Solid, Slow, Never sold, or Too new to judge), breaks sales down by tag, and lets the merchant hide (set to draft), unhide (set back to active), tag or untag designs in bulk. Every change is recorded and can be undone from the App's History page.

2. Account and Eligibility

• You must have an active Shopify store to use PruneKit.
• You must have the authority to grant PruneKit access to your Shopify store.
• You are responsible for the changes you and your staff make with the App, and for reviewing which designs are selected before hiding, unhiding, tagging or untagging them.
• You are responsible for the security of your Shopify account and for who on your staff can access the App.

3. Pricing and Billing

• PruneKit offers a Free tier, free forever: the full sales report and 25 changes a month.
• The Micro tier is $3.99/month and allows 500 changes a month.
• The Pro tier is $7.99/month and allows unlimited changes.
• A change is one design hidden, unhidden, tagged or untagged. Undoing a change does not count toward the limit.
• Paid tiers are billed through Shopify's billing system. A 7-day free trial applies to your first paid subscription.
• You may change or cancel your plan at any time through Shopify.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of PruneKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein. PruneKit reads your products and your orders' line items (which products sold, how many and for how much). It does not read or store customer names, emails, phone numbers or addresses.

You retain ownership of all your store data and settings. We claim no ownership rights over your data.

6. Third-Party Services

PruneKit runs on Shopify's platform and APIs. Your use of the App is also subject to the Shopify Terms of Service. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Accuracy of Information

PruneKit works with the information in your store. While we strive for reliability:

• Tiers are based only on the orders PruneKit can read. Shopify shows an app the last 60 days of orders unless it is granted access to all orders, so a design's sales before that window are not counted.
• Tiers describe past sales; they are not a prediction of future sales or a recommendation to hide any particular design.
• An undo leaves a design as it is if it was changed by hand since PruneKit changed it.
• PruneKit does not guarantee that the report is complete or correct, and it is not responsible for the results of changes you choose to make.

8. Limitation of Liability

To the maximum extent permitted by law:

• PruneKit is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for lost sales, hidden products, or other business losses arising from the use of, or reliance on, the App.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your access tokens are deleted immediately and the data held by the App is deleted when Shopify sends its shop-redaction request (about 48 hours later), per our Privacy Policy. Changes you already made to your products (for example, designs set to draft) remain in Shopify.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
